Compliance & Ownership Architecture Across the Startup Lifecycle
MSIL FundRays 2.0 is ISB I-Venture's investment-readiness programme for a cohort of 16 startups. Their mentor reviews had turned up the same gap again and again: compliance, ownership and governance, just as the companies were moving towards institutional money.
ISB asked Sriram to take that gap on. The session followed others on board dynamics and on selling versus listing. It laid the structural ground those choices stand on.

What did we cover for ISB I-Venture?
- 01What a gap found in diligence costs: a lower price, a later closing, or a liability that lands on the founders
- 02A ten-question self-check on the cap table, founders' agreement, IP, ESOPs, foreign investment filings and registers
- 03The four layers of ownership that have to grow at every stage, from formation to growth
- 04Founders' agreements, IP assignment, and the compliance each funding round adds
- 05How dilution builds up round by round, how an option pool is carved out, and India's rules for ESOPs
What did the founders leave with?
- A score of how ready they are to raise, out of ten
- A view of what each layer needs at their own stage
- A quick way to work out what the founders will hold after the next round
